Terms of Service

Sovra Care, LLC  ·  Effective April 2026

These Terms of Service ("Terms") govern your use of Sovra Care, LLC ("Sovra," "we," "our"). By using the Sovra platform — including the website, employer portal, or employee app — you agree to these Terms.

If you are using Sovra on behalf of a company, you confirm that you have authority to bind that company to these Terms.

Section 01

Overview

Sovra provides software that helps employers manage healthcare allowances for their teams. These Terms apply to all users of the Sovra platform, including employers, HR administrators, and employees.

Section 02

What Sovra Does

Sovra provides software that helps employers:

  • Set a monthly healthcare allowance for their team
  • Give employees tools to find and access care
  • Track and understand how healthcare funds are being used — in aggregate and anonymously

Sovra also provides an AI-powered navigator to help employees find healthcare options and estimated costs.

Section 03

What Sovra Does Not Do

Sovra is not
  • Health insurance
  • A medical provider
  • A plan administrator or fiduciary
  • A payroll provider
  • A financial institution
Sovra does not
  • Guarantee payment of any expense
  • Provide medical advice or diagnosis
  • Make decisions about what expenses should or should not be paid

Employer Responsibility

Employers are solely responsible for:

  • Deciding how much to contribute to employee wallets
  • Communicating the program to employees
  • Handling any payments to employees — typically via payroll
  • Ensuring compliance with applicable tax and employment laws
Sovra does not process or control payments. All employer contributions to employees are handled through the employer's existing payroll or payment systems.

Employee Responsibility

Employees are responsible for:

  • How they choose to spend their healthcare allowance
  • Verifying providers, pricing, and services independently
  • Making their own healthcare decisions

The Sovra navigator is informational only and does not constitute medical advice.

Section 06

AI Navigator Disclaimer

The Sovra AI navigator provides general guidance and estimated information to help employees find and access care.

It does not:

  • Provide medical advice
  • Replace a licensed healthcare provider
  • Guarantee pricing or availability of services
Always consult a qualified, licensed professional for medical decisions.
Section 07

Fees

Sovra charges a subscription fee per employee, as agreed during signup. This fee covers access to the Sovra platform, employer portal, and employee app.

Employer contributions to employee wallets are separate from Sovra fees and are set entirely by the employer.

Section 08

Acceptable Use

By using Sovra, you agree not to:

  • Use Sovra for unlawful purposes
  • Upload false, misleading, or fraudulent information
  • Attempt to disrupt, access, or interfere with systems improperly
Section 09

Intellectual Property

Sovra owns all rights to its platform, software, branding, and related intellectual property.

You retain ownership of any data you provide to Sovra. By using the platform, you grant Sovra a limited license to process that data to provide the service.

Section 10

Disclaimer of Warranties

Sovra is provided "as is" without warranties of any kind, express or implied.

We do not guarantee uninterrupted service, error-free operation, or complete accuracy of all information provided through the platform.

Section 11

Limitation of Liability

To the fullest extent permitted by applicable law, Sovra's total liability for any claim arising out of or related to these Terms is limited to the amount paid to Sovra in the prior 12 months.

Sovra is not liable for indirect, incidental, consequential, or punitive damages of any kind.

Section 12

Termination

You may stop using Sovra at any time by discontinuing use of the platform.

Sovra reserves the right to suspend or terminate your access if these Terms are violated or if required by law.

Section 13

Updates to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page.

Continued use of Sovra after changes take effect constitutes acceptance of the updated Terms.
