Sovra Care, Inc. ("Sovra," "we," "us," or "our") is a Delaware corporation operating in the United States. We operate the Sovra platform — a health benefits technology platform accessible at sovra.care, the Sovra employer portal, and the Sovra employee mobile app (collectively, the "Platform").

We collect standard technical data including IP address, device type, operating system, browser type, and app session data for security monitoring, fraud prevention, and platform performance. This data is not linked to individual health information.

The Sovra AI Care Navigator is an informational tool only. It does not provide medical advice, clinical diagnosis, treatment recommendations, or any form of healthcare guidance that should be relied upon as a substitute for consultation with a licensed healthcare provider. No communication with the Sovra AI Navigator creates a doctor-patient relationship, a therapist-client relationship, or any other clinical relationship. Always consult a qualified healthcare professional for medical decisions. Sovra is not liable for any health outcome, decision, or action taken based on AI Navigator outputs.
Employers are strictly prohibited from using any Sovra Platform output — including AI-generated insights, spend summaries, utilization data, or any other data — to make or inform employment decisions including hiring, termination, compensation, promotion, discipline, or any other adverse employment action against any individual employee.
When an employee submits a reimbursement request, Sovra's system reads the receipt image or document to verify eligibility criteria — including merchant category, service date, and dollar amount — against the employer's reimbursement rules.
No receipt content — including provider names, diagnosis codes, prescription names, or any clinical information that may appear on a receipt — is retained, shared with the employer, or used for any purpose beyond the eligibility determination.
Employees may voluntarily load their individual insurance plan details into the Sovra app to enable the AI Navigator to provide more accurate, personalized cost guidance. This is entirely optional.
The data fields stored include plan name, plan type, carrier name, deductible and out-of-pocket maximum amounts, copay and coinsurance details, prescription tiers, HSA/FSA balances, and coverage flags. Member ID and Group Number are treated as PHI-equivalent identifiers and are subject to the highest level of protection in our systems — they are never logged, never included in error messages or diagnostic tools, and never transmitted outside of encrypted storage.
Sovra does not sell personal data. We share data only in the following limited circumstances:

We may disclose data if required by law, court order, or governmental authority, or if we believe disclosure is necessary to protect the rights, property, or safety of Sovra, our users, or the public.
In the event of a merger, acquisition, or sale of all or substantially all of Sovra's assets, user data may be transferred to the acquiring entity. We will notify users via email or prominent platform notice before any such transfer takes effect and before data becomes subject to a different privacy policy.

Sovra is built to HIPAA technical standards. While Sovra is not a HIPAA-covered entity in the traditional sense (we are not a healthcare provider, health plan, or healthcare clearinghouse), we have voluntarily adopted HIPAA-equivalent protections for all health-adjacent data we handle, including:

Note for employees: Because your Sovra account is connected to your employer's account, account deletion requests may affect your ability to receive reimbursements. We will confirm the impact before proceeding.
The Sovra Platform is not directed at individuals under the age of 18. We do not knowingly collect personal data from anyone under 18. If you believe we have inadvertently collected data from a minor, contact us at privacy@sovra.care and we will promptly delete it.
We may update this Privacy Policy from time to time. For material changes, we will notify employer administrators by email at least 30 days before the change takes effect, and we will notify employees via in-app notification. The effective date at the top of this document will always reflect the most recent update. Continued use of the Platform after the effective date constitutes acceptance of the updated policy.

These Business Terms of Service ("Business Terms") constitute a legally binding agreement between Sovra Care, Inc. ("Sovra") and the business entity you represent ("Employer," "you," or "your"). By creating a Sovra employer account, clicking "I agree," or using the Sovra employer portal, you represent that you have the authority to bind your business to these Business Terms.
These Business Terms incorporate by reference our Privacy Policy. In the event of a conflict between these Business Terms and the Privacy Policy, the Privacy Policy governs with respect to data practices.
Sovra provides a health benefits technology platform that enables employers to fund a monthly healthcare contribution for employees, manage reimbursement workflows, and access spend analytics. The Platform includes the employer web portal, employee mobile application, AI Care Navigator, and associated integrations.
What Sovra is: A software platform and reimbursement workflow tool. Sovra is not an insurance carrier, health plan, plan administrator, ERISA fiduciary, payroll provider, medical provider, or financial institution.
Current model: In its current form, employer contributions are processed through your existing payroll as taxable income to employees — the same treatment as a phone or wellness stipend. Sovra does not hold employer or employee funds at any time.
Tax-advantaged options: Sovra may offer or facilitate access to tax-advantaged contribution structures (such as ICHRA) through third-party partners. These arrangements are separate agreements between you and the applicable third-party administrator. Sovra makes no representation regarding the tax treatment of any contribution and recommends you consult a qualified tax advisor.
As an Employer, you are responsible for:
You may designate additional administrator users for your employer account. You are responsible for all actions taken by users under your account.
You set the monthly contribution amount per employee or per employee class. Contributions may be uniform across all employees or set individually per employee at your discretion, provided that any variation is based on non-discriminatory criteria permitted by applicable law (such as employment type, role, or tenure).
You are solely responsible for processing contributions through your payroll system accurately and on time. Sovra provides payroll reporting data to facilitate this but does not process payroll on your behalf and does not hold or transmit funds.
You acknowledge that in the current model, contributions are treated as taxable wages and you are responsible for applicable payroll tax obligations including employer FICA contributions.
By using the Platform, you acknowledge and agree to the following data obligations:
You may not use the Sovra Platform to:
Sovra may facilitate access to insurance options for employees through trusted third-party insurance partners. This facilitation is a referral only. Any insurance plan, premium, coverage determination, or claims decision is solely between the employee and the applicable insurance partner. Sovra is not an insurance carrier, does not underwrite any insurance product, and has no liability for any coverage determination, denied claim, or insurance-related dispute.
Employees independently choose whether to engage with any insurance partner. Employer contribution toward an employee's insurance premium, where offered, is processed through payroll as described in Section 4 and is not a Sovra financial product.
The Sovra platform fee is $35 per active employee per month, with a minimum of $149 per month. Fees are billed monthly in advance. All fees are exclusive of applicable taxes.
Wallet funding contributions are separate from the platform fee and are set and processed entirely by you through your payroll system. Sovra does not charge fees on wallet contributions.
Sovra reserves the right to change its fee structure with 30 days' written notice. Continued use of the Platform after the effective date of a fee change constitutes acceptance of the new fees.
If any amount due is not paid within 15 days of the due date, Sovra may suspend access to the employer portal until payment is received. Accounts unpaid for more than 60 days may be terminated.
These Business Terms commence on the date you create your Sovra employer account and continue on a month-to-month basis unless terminated.
Termination by you: You may cancel your Sovra account at any time by providing written notice to support@sovra.care. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
Termination by Sovra: Sovra may terminate or suspend your account immediately for material breach of these Terms, non-payment, fraudulent activity, or conduct that Sovra reasonably determines harms the Platform or other users.
Effect of termination: Upon termination, your access to the employer portal will cease. Sovra will retain data in accordance with the Privacy Policy. You remain responsible for processing any outstanding reimbursements through your payroll system.
THE SOVRA PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
SOVRA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. SOVRA DOES NOT PROVIDE MEDICAL, LEGAL, TAX, OR FINANCIAL ADVICE. THE AI CARE NAVIGATOR IS AN INFORMATIONAL TOOL ONLY AND DOES NOT CONSTITUTE MEDICAL ADVICE. EMPLOYERS AND EMPLOYEES SHOULD CONSULT QUALIFIED PROFESSIONALS FOR MEDICAL, LEGAL, AND TAX GUIDANCE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOVRA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE BUSINESS TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SOVRA IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL SOVRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY HEALTH OUTCOME RESULTING FROM USE OF OR RELIANCE ON THE AI CARE NAVIGATOR OR ANY OTHER PLATFORM FEATURE, EVEN IF SOVRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Sovra Care, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your breach of any applicable employment, tax, or benefits law; (c) your misuse of employee data; or (d) any false or fraudulent reimbursement approval you submit through the Platform.
These Business Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Before initiating any formal proceeding, the parties agree to attempt good-faith resolution by contacting support@sovra.care with a written description of the dispute. Sovra will respond within 10 business days.
If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in Maricopa County, Arizona. Judgment on the arbitration award may be entered in any court of competent jurisdiction. You waive any right to a jury trial and any right to participate in a class action with respect to any claim against Sovra.
Entire Agreement. These Business Terms, together with the Privacy Policy, constitute the entire agreement between you and Sovra with respect to the Platform and supersede all prior agreements.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
Waiver. Failure by Sovra to enforce any right under these Terms does not constitute a waiver of that right.
Assignment. You may not assign these Terms without Sovra's written consent. Sovra may assign these Terms in connection with a merger or acquisition.
Notices. Legal notices to Sovra should be sent to legal@sovra.care.
The Sovra AI Care Navigator provides informational guidance only. It does not provide medical advice, diagnosis, or treatment recommendations. Nothing from the Sovra app or AI Navigator should be used as a substitute for advice from a licensed doctor, nurse, therapist, or other qualified healthcare provider. Using Sovra does not create any clinical relationship between you and Sovra. Always seek professional medical advice for health decisions. Sovra is not liable for any health outcome or decision made based on Navigator guidance.
These User Terms of Service ("User Terms") are an agreement between you — an individual employee or authorized user — and Sovra Care, Inc. ("Sovra"). By activating your Sovra account, downloading the Sovra app, or using any part of the Sovra Platform as an individual user, you agree to these User Terms.
Your employer has a separate agreement with Sovra (the Business Terms). Your rights under these User Terms exist independently — your employer's agreement does not limit your individual data rights or the protections described here.
Through the Sovra mobile app, you can:
Your Sovra account is personal to you. You are responsible for keeping your login credentials secure. Do not share your password or account access with anyone, including your employer or HR team.
You must be at least 18 years old to create a Sovra account. By creating an account you represent that you meet this requirement.
If you suspect unauthorized access to your account, contact us immediately at support@sovra.care.
Your health information is yours. Sovra's data practices are designed to protect your privacy in three important ways:
Your employer's dashboard shows only anonymous, aggregate totals — total spend by category across all employees. They cannot see your individual receipts, what you spent money on, which providers you visited, your insurance plan details, your AI Navigator conversations, or any information that identifies you individually. This protection exists regardless of what your employer asks or requests.
If you choose to load your insurance plan details into Sovra, that data is stored securely, used exclusively by the AI Navigator to help you, and never shared with your employer or any third party except as described in our Privacy Policy. You can delete your insurance plan data at any time in the app settings.
Questions you ask the AI Navigator are stored in HIPAA-protected infrastructure, retained for 12 months, and used only to improve the Navigator. They are never shared with your employer and never used to train any AI model.
You have the right to access, correct, and delete your personal data. See Section 12 of our Privacy Policy or contact privacy@sovra.care.
The AI Care Navigator helps you find affordable care options, understand your insurance coverage, compare cash-pay and insured costs, and navigate your benefit. It is powered by AI and is designed to be informative and helpful.
The AI Care Navigator does not provide medical advice. It does not diagnose conditions, prescribe treatments, or recommend specific medical procedures. Its guidance on care costs, provider options, and care pathways is informational only. For any medical decision — including whether to seek care, what type of care to seek, or how to treat a condition — consult a licensed healthcare provider. Sovra is not responsible for any health outcome resulting from your use of or reliance on the AI Navigator.
Cost estimates provided by the Navigator are approximate and based on publicly available cash-pay pricing data. Actual costs may vary by provider, location, and individual circumstance. Sovra does not guarantee the accuracy of any cost estimate.
You may submit receipts for qualifying healthcare expenses through the Sovra app. Eligibility is determined by the rules your employer has configured — typically any licensed healthcare provider, pharmacy, dental or vision provider, mental health provider, or telehealth service.
When you submit a receipt, Sovra reads it to verify eligibility and then deletes the image. Only the outcome, category, amount, and date are retained.
Approved reimbursements are processed through your employer's payroll as taxable income in Sovra's current model. Reimbursement timing depends on your employer's payroll schedule — Sovra does not control payroll timing.
You agree not to submit false, fraudulent, or duplicate receipts. Fraudulent submissions may result in account termination and may be reported to your employer as a policy violation (without disclosure of the underlying health information).
Through the Sovra app, you may access connections to trusted insurance partners who offer individual health insurance plans — including PPO options, catastrophic coverage, and family plans. Any insurance plan you select is a direct agreement between you and the insurance provider. Sovra is not a party to that agreement, does not underwrite any insurance, and has no liability for coverage decisions, denied claims, or any aspect of your insurance relationship.
Your decision to engage with any insurance partner is entirely your own. Your employer does not direct, require, or influence your insurance choices.
To be completely transparent — your employer can see the following through their Sovra dashboard:
Your employer cannot see your receipts, your AI Navigator questions, your insurance plan details, the providers you visit, your diagnoses, your medications, or any individual health information. This is enforced at the platform level — it is not merely a policy.
You agree not to:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVRA'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOVRA IS NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ANY HEALTH OUTCOME RESULTING FROM USE OF THE AI NAVIGATOR OR ANY OTHER PLATFORM FEATURE.
Your Sovra account is connected to your employer's account. If your employer terminates their Sovra subscription, your employee account will be deactivated. If you leave your employer, your account access will end at the close of your final payroll period.
You may request deletion of your personal data at any time by contacting privacy@sovra.care. Note that certain transaction records are retained for legal and tax compliance purposes as described in our Privacy Policy.
These User Terms are governed by the laws of the State of Delaware. Any dispute that cannot be resolved informally will be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, with proceedings conducted in Maricopa County, Arizona.
